To view standard confidentiality agreements, material transfer agreements or research cooperation agreements, please return to our Model Agreements page. Access to innovation at Harvard should be as simple as possible. Our licensing agreements are fair and reasonable, and experienced OTD employees work with you to help you achieve your business goals. To give you an idea of how these licenses take shape, we are happy to provide you with a number of model agreements here. If you have any questions about these models, please contact us. Multiply these points by the number of clauses in a typical and detailed license agreement, and you`ll get dozens of points where you can design details. Some of these points have direct commercial significance, some are points of interpretation that can be quiet until the parties argue, and some are just design style points that reflect the author`s thoughtful choices. The experienced author has a mental checklist with clause design problems that he frequently encounters. Harvard offers certain materials (usually biological research materials) for non-exclusive commercial use. Some materials, such as mice, are usually offered on a flat-rate basis or with fixed annual payments.
Others, such as Hybridom cell lines, also include royalty-based payments. The standard agreements for both types of hardware licenses are available below. You can also find sample templates that can help you sketch out the likely content of a license agreement in the ipHandbook of Best Practices. Harvard also offers option agreements for companies considering licensing a Harvard technology. An option agreement allows a company to “retain” a technology for a short period of time, during which time the company can continue to assess its potential or raise funds for product development without binding on the obligations of a licensing agreement or Harvard. Options typically have a term of six months to one year and typically require both a pre-fee and a refund of the patent application for the duration of the option. If you`re designing a detailed IP license agreement or checking out someone else`s project, it`s likely that there are many points of detail that need to be considered.
