(e) Notwithstanding the contrary provisions of section 20 (a) â (c) if the non-performance due to an event of force majeure continues beyond a continuous period of ninety (90) days, each party has the right to partially terminate the agreement with a period of thirty (30) days in respect of the other (it being understood that in the event of an accident, which destroys all or substantial part of the premises, the provisions of Article 20 (d) shall apply). In the event of termination in accordance with this Section 20(e), the Supplier is required to close the facility in accordance with the provisions of Section 10(e) and remove it from the Site. In the event of such termination of this Facility Agreement, the Parties shall not be exempt from payments or other obligations under this Agreement, which were incurred prior to the closure of the facility or premises, and the indemnification, confidentiality and dispute resolution provisions of this Agreement shall extend the termination of this Agreement. 21. AMENDMENT OF THE LAW In the event of a change in the law applicable to the operation of the installation, the sale of electrical energy produced by the installation or any other obligation of the supplier or host below, there shall be no adjustment of the prices of the electrical energy of the installation set out in this Agreement. Notwithstanding the fact that compliance with the amendment to the law results in an increase in the costs of operating and/or maintaining the supplier`s installation or increases the costs for the host for the use of the electricity produced by the installation. 22. DEFAULT AND HOST REMEDIES PROVIDER (a) Vendor Delay Events. Supplier is in arrears in this Agreement if any of the following events (“Supplier Delay Events”) occur: (i) any warranty or warranty of Supplier in accordance with Section 19 of this Agreement; is in any way erroneous or incomplete, or refrains from including all information necessary not to mislead such warranty or guarantee, and such deficiency is not corrected within fifteen (15) days of receipt of the notification from the host identifying the defect.
